Terms and Conditions for callumhtch Services

1. Introduction

  • These terms and conditions ("Terms") govern the provision of sales consultancy services ("Services") by callumhtch ("Consultant") to the client ("Client"). By engaging our services, the Client agrees to be bound by these Terms.

2. Services Provided

  • The Consultant agrees to provide sales consultancy services as outlined in the agreed website proposal.
  • Services may include, but are not limited to, sales strategy development, sales coaching and support running discovery calls.

3. Fees and Payment

  • Fees for the Services will be outlined in the proposal or service agreement. Payments are due in advance of the Commencement Date through our payment provider Stripe; unless otherwise agreed in writing.
  • In the event a different payment plan is agreed then late payments will incur interest at a rate of 5% per month, and ongoing services will be paused if there is a payment overdue.

4. Confidentiality

  • Each Party may be given access to Confidential Information from the other Party in order to perform its obligations under these Terms. Confidential Information shall not include information that:
    • (a) is or becomes publicly known other than through any act or omission of the receiving Party;
    • (b) was in the other Party's lawful possession before the disclosure;
    • (c) is lawfully disclosed to the receiving Party by a third party without restriction on disclosure; or
    • (d) is independently developed by the receiving Party, which independent development can be shown by written evidence.
  • Subject to 4 a-b, each Party shall hold the other's Confidential Information in confidence and not make it available to any third party or use it for any purpose other than the implementation of these Terms.
  • Each Party shall take all reasonable steps to ensure that the other's Confidential Information to which it has access is not disclosed or distributed by its employees or agents in violation of these Terms.
  • A Party may disclose Confidential Information to the extent such information is required to be disclosed by law, by any governmental or regulatory authority, or by a court or other authority of competent jurisdiction, provided that, to the extent it is legally permitted to do so, it gives the other Party as much notice of such disclosure as possible and takes into account the reasonable requests of the other Party in relation to the content of such disclosure.

5. Intellectual Property

  • All intellectual property created or provided by the Consultant during the engagement, including reports, training materials, and strategies, remains the property of the Consultant unless otherwise agreed in writing. The Client is granted a non-exclusive, non-transferable license to use the materials for their internal business purposes.

6. Limitation of Liability

  • The Consultant will use reasonable care and skill in providing the Services. However, the Consultant shall not be liable for any indirect, incidental, or consequential damages arising from the Services. The Consultant’s total liability under these Terms shall not exceed the fees paid by the Client for the Services.

7. Termination

  • Either party may terminate the engagement by providing 30 days written notice.
  • Should the Client terminate; upon termination, the Client agrees to pay all outstanding invoices within 7 days.

8. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under these Terms shall be resolved through good faith negotiations as an initial step.

9. Client Testimonial

  • Upon successful completion of the Services, the Client agrees to provide a short testimonial in written or video form. The testimonial should reflect the Client's honest feedback on the quality of the Services provided by the Consultant.
  • The Consultant may use this testimonial for marketing and promotional purposes, and an acceptance of these Terms & Conditions in signing up for the Service represent the Client providing consent for this use.

By engaging the Consultant’s Services, the Client acknowledges and agrees to these Terms and Conditions.
